A bond issuance enquiry should connect the funding purpose, repayment capacity and proposed investor terms. Corporate, infrastructure, project and public-sector issues can involve different structures and approval pathways. Wigmore Trading accepts enquiries to scope preparatory business-support requirements. Regulated advice, underwriting, placement, legal work and credit opinions require appropriately qualified and registered parties.

Begin with the funding and repayment case

Define the issuer, amount, use of funds, intended tenor and source of repayment. Identify existing debt, obligations and constraints. Forecasts should explain their assumptions and downside cases rather than simply show the desired funding amount. An issuer’s commercial plan and its ability to meet investor obligations need independent professional review.

Proposed instrument Question for qualified advisers
Corporate or government bond Which issuer authority, disclosure and approval pathway applies?
Infrastructure or project bond How are project cash flows, completion risk and payment obligations addressed?
Green or sustainability-related issue Which eligibility, reporting and external-review requirements apply to the proposed label?
Asset-backed or mortgage-backed securities What assets, rights, servicing and structural risks need specialist assessment?
Sukuk or non-interest instrument Which legal, asset, governance and relevant specialist requirements apply?
Commercial paper or medium-term programme Which instrument-specific rules, maturity assumptions and documentation apply?

Do not merge all debt instruments into one checklist

A commercial paper programme is not simply a shorter bond, and a sukuk structure is not established by changing a document title. The SEC’s rules and amendments resource includes instrument-specific material. Qualified advisers should determine the current requirements for the issuer and route, including any relevant updates and approvals.

Credit assessment and due diligence

Prepare reliable financial statements, debt records, forecasts and material risk information. Distinguish an internal financial review from a formal credit rating or credit opinion issued by a competent provider. Document gaps, sensitivities and the basis of repayment assumptions. A favourable base case does not establish that investors will subscribe or that a regulator will approve the issue.

Underwriting and placement commitments

Ask the proposed professional to explain whether the engagement is firm commitment, best efforts, standby or another arrangement and what its terms actually mean. Identify the legal parties, conditions, exclusions and termination rights. A syndicate description does not guarantee funding. Verify the relevant operator functions through the SEC register and have transaction documents reviewed by qualified advisers.

Documents and continuing responsibilities

Agree who prepares and verifies the prospectus or memorandum, subscription and underwriting agreements and supporting due-diligence records. Include continuing reporting, investor communications and any relevant asset or covenant obligations in the project plan. An issuance budget should account for responsibilities after closing as well as the initial documentation.

Pricing and fees need dated proposals

Ask how pricing will be assessed, what market evidence is relevant and which assumptions could change. Compare underwriting, placement, legal, trustee, rating, registration and other applicable charges on the same scope. Do not treat a published percentage as a universal current fee. Costs and investor terms depend on the actual issuer, structure, market and agreed professional work.

Prepare a debt-issuance enquiry

Send Wigmore a non-confidential issuer summary, funding purpose, proposed instrument, adviser status and timetable. We can help scope preparatory and commercial support and confirm specialist dependencies. This page does not offer securities to the public, bind an underwriting commitment or confirm Wigmore as an issuing house or registered underwriter.

Discuss your requirement with Wigmore Trading

Send a non-confidential brief describing your organisation’s role, location, required support and target dates. We can help scope sourcing, procurement, integration or preparatory business support, with specialist capability and professional responsibilities confirmed for the project.
