Securities underwriting concerns a defined capital-market role and contractual commitment. It is different from insurance underwriting, credit appraisal or introducing a company to potential investors. An issuer should establish the transaction and the authorised participants before discussing an underwriting proposal.

Wigmore Trading welcomes commercial preparation and provider-coordination enquiries in Nigeria. This page does not represent Wigmore as an SEC-registered underwriter, issuing house or investment bank, and does not offer securities or a commitment to subscribe funds.

Define the proposed issue

Identify the issuer, objective, instrument, amount, currency, investor audience and timetable. Equity issuance, bonds, commercial paper, rights issues, IPOs, public offers and private placements can follow different processes.

Workstream Questions to resolve
Instrument Rights, obligations, maturity and purpose
Advisers and providers Registration, role, mandate, independence and conflicts
Underwriting commitment Exact obligation, conditions, limits and termination
Issuance process Approvals, documents, disclosures and investor communications

Verify the provider’s actual registration

Use the SEC registered-operator search and appropriate official confirmation for the exact entity and activity. A company describing itself as a financial consultant does not thereby hold underwriting or issuing-house authority.

Confirm current status and who is responsible for each regulated task. A general commercial engagement or investment introduction is not equivalent to an authorised underwriting mandate.

Understand what is committed

Ask the provider to explain the proposed obligation, conditions, allocation, fees and withdrawal rights. Distinguish marketing assistance, placement work and a binding underwriting commitment. The language of the actual agreement matters.

Do not assume an issue is fully funded because an adviser is engaged or preliminary interest has been received. Investor appetite and formal commitments are different stages.

Prepare the issuer information

Qualified advisers should establish the financial, legal and business information required. Explain use of proceeds, risks, obligations and material assumptions consistently. An offer document should not conceal uncertainties behind optimistic marketing.

Private placement does not mean a transaction is automatically outside all securities requirements. Have the responsible legal and capital-market professionals assess the applicable rules and investor communications.

Coordinate approvals and execution

Create a programme covering professional workstreams, documentation, approvals, decision authority and dependencies. The Investments and Securities Act 2025 is a relevant primary reference; transaction-specific requirements and current rules need professional review.

Define how information is shared and who may communicate with investors. A coordinator should not be assumed to have authority to solicit, advise or execute securities transactions.

Can Wigmore guarantee an issue will raise capital?

No. Funding and formal underwriting depend on authorised providers, investors, conditions and agreed documents.

What should I send?

Provide a non-confidential issuer description, objective, proposed instrument and timing. Detailed financial and transaction records should follow an appropriate engagement and disclosure process.

Prepare your enquiry brief

Note your organisation type, location, purpose, required deliverable, systems or products involved and target dates. Identify the responsible decision-maker and distinguish preparation, analysis, administration and regulated activities.

Start with non-confidential project details. Do not send medical, identity, borrower, policyholder or private financial records through an initial sales enquiry. Agree scope, permissions and controlled access first. This checklist does not submit information.

Scope your project with Wigmore Trading

Send a non-confidential brief so we can discuss practical preparation, procurement or coordination support. The actual provider, professional scope, permissions, deliverables and commercial terms are confirmed for the engagement.
