Ghana is frequently entered before Nigeria, and the reasoning is sound even though the market is a fraction of the size. It is easier to register in, easier to move goods through, and easier to operate in without a large local organisation. For a business testing whether a West African proposition works at all, those three things can matter more than addressable market — and what is learned in Accra transfers reasonably well to Lagos.

What you are entering

A population in the low thirties of millions, concentrated around Accra–Tema and Kumasi, with a relatively high urbanisation rate and an economy built on gold, cocoa, oil and a substantial services sector. English-speaking, common law, with a reputation for administrative predictability that is comparative rather than absolute — things take time, but the process is usually the process.

The market is import-dependent in manufactured goods and consumer products, with Tema serving as the main gateway and Takoradi handling the western corridor and much of the oil and gas traffic.

The entry rules you need to know first

  • Registration with the Registrar-General, then registration with the Ghana Investment Promotion Centre for a business with foreign participation.
  • Minimum foreign capital requirements. This is the item that surprises people. Ghana sets minimum equity thresholds for foreign-owned businesses, with different levels for a joint venture with a Ghanaian partner, for a wholly foreign-owned company, and a materially higher threshold for trading companies — alongside a local-employment requirement for trading. These thresholds are set in statute and have been revised, so confirm the current figures with the GIPC before you structure anything. The key point for planning is that pure trading carries the highest bar, which pushes many entrants toward either a local distributor or a non-trading structure.
  • Sector reservations. Certain activities — small-scale retail and market trading among them — are reserved for Ghanaian citizens. Check whether what you intend to do falls inside a reservation before planning around it.
  • Product registration with the Food and Drugs Authority for food, drugs, cosmetics and medical devices, and with the Standards Authority for conformity. This takes time and must start early.
  • Tax registration with the Ghana Revenue Authority, and VAT and levy registration where applicable.

The practical consequence of the capital thresholds is worth stating plainly: for many businesses the efficient route into Ghana is not to incorporate at all, but to sell through a Ghanaian importer or distributor, prove the demand, and incorporate once the volume justifies the capital commitment.

Tema, and the transit business behind it

Tema is the country’s main port and also a transit gateway for landlocked Sahelian states. That second role creates a logistics market distinct from the domestic one: bonded transit movements, escorts, guarantees and corridor haulage, with its own documentation and its own margins. For a logistics business, transit is often more interesting than domestic distribution; for a goods business, it means your competitors at the port are not only Ghanaian importers.

Operationally, Tema is generally regarded as more predictable than Lagos, which does not mean fast. Document accuracy still determines dwell time and demurrage still accrues.

The cedi

Ghana’s currency floats and has gone through sharp depreciation episodes. The planning implications are the same as anywhere with a volatile currency and worth repeating because they are routinely ignored: price so that it can move, avoid holding large local-currency balances, keep hard-currency obligations matched to hard-currency income where possible, and treat a long fixed-price local-currency contract as a currency position rather than a sale.

Ghana also went through a sovereign debt restructuring in recent years, with consequences for domestic bondholders and for banking sector liquidity. The relevance to a trading business is indirect but real: credit is expensive, and customers who want extended terms may be seeking finance rather than convenience.

Ghana or Nigeria first?

  • Choose Ghana first if you want a cleaner operating environment to test a proposition, if your volumes are modest, if administrative predictability matters more than scale, or if your product suits mining, oil services or cocoa processing.
  • Choose Nigeria first if the economics only work at scale, if your product is one where volume drives unit cost, or if you can manage currency and port complexity and want the larger prize.
  • Do both only after one is paying. The failure pattern is entering two markets at once and under-resourcing both.

Honest assessment

Ghana is an easier place to do business than its larger neighbour and a smaller one. The error is assuming “easier” means “easy”: the capital thresholds are real, product registration takes months, the cedi has genuinely hurt businesses that ignored it, and credit is expensive. What Ghana offers is a market where the rules are usually followed, which for many foreign businesses is worth more than a larger market where they are not.
