A distressed acquisition can involve financial pressure, operational problems or a formal insolvency process. A low asking price does not establish good value. The buyer needs to understand authority to sell, the assets or shares included, continuing obligations and the resources needed to stabilise the business.

Wigmore Trading welcomes commercial screening and transaction-coordination enquiries in Nigeria. Legal insolvency advice, receivership matters, debt negotiations and formal sale powers require appropriately qualified professionals. No distressed listing, title clearance or quick completion is promised.

Identify the sale process

Establish whether the seller is an owner, authorised company representative, receiver, administrator, secured creditor or another party. Ask counsel to verify the capacity, scope of authority and relevant process rather than relying on the seller’s description.

Question Evidence to examine
Authority Who can sell and what restrictions apply?
Perimeter Which shares, assets, contracts and liabilities are involved?
Condition What works, what is missing and what investment is needed?
Funding What cash is needed for acquisition and stabilisation?

Review title and obligations

Examine security interests, claims, litigation, taxes, employment matters and contract restrictions with relevant advisers. An asset-recovery sale or bank-led process should not be assumed to provide unrestricted title without reviewing the actual documents and legal position.

Distinguish a company purchase from buying selected assets. The risk allocation and consents may differ, and a lower purchase price may come with limited information or protections.

Test the turnaround case

Identify why the business is underperforming and whether the cause can realistically be addressed. Separate a temporary cash problem from lost customers, obsolete equipment, weak management or an unviable market position.

Estimate working capital, repairs, staffing and other stabilisation costs. Consider whether customers, licences and key suppliers will remain available. Special-situations investment needs evidence, not only confidence that new ownership will solve the problem.

Control urgency

A seller may seek speed, but the buyer should understand the limits of accelerated diligence. Record missing information and the consequences of accepting uncertainty. Do not describe a transaction as safe merely because a deadline is short.

Use qualified advisers to assess debt restructuring, stakeholder negotiations and approvals. An urgent or confidential business-sale enquiry does not justify concealing material information or bypassing lawful procedures.

Plan operation after completion

Establish leadership, cash controls, customer communication and essential services. Confirm which staff, systems and assets are actually available. A turnaround plan should prioritise continuity and define review points for further investment.

Fees, authority, conflicts and deliverables should be explicit in any advisory engagement. Corporate search or coordination is different from exercising an insolvency practitioner’s statutory powers.

Are distressed businesses always cheaper to buy?

The initial price can be misleading once liabilities, investment and operating risk are considered.

What should I send Wigmore?

Provide a non-confidential description of the business, sale process, location, authority and timetable. Sensitive documents should follow an agreed professional review process.

Prepare a non-confidential enquiry

Note your role, business sector, jurisdictions, transaction stage, target dates and the decision you need help with. State what is confirmed and what remains an assumption. Identify who is authorised to give instructions.

Do not send confidential deal documents, private banking or identity information, medical records or employee data through a general sales enquiry. Agree scope, confidentiality and access first. This checklist does not submit information.
