The headline price does not explain everything a buyer pays or a seller receives. Working-capital adjustments, debt treatment, deferred consideration and risk-allocation terms can materially change the economics. They should be understood together before the agreement is signed.

Wigmore Trading welcomes commercial preparation and closing-coordination enquiries in Nigeria. Legal drafting, accounting calculations, escrow arrangements and insurance placement require appropriate providers and separately agreed scopes.

Define the price mechanism

Mechanism Questions to establish
Completion accounts Measurement date, accounting policies, adjustments and dispute process
Locked-box approach Reference accounts, permitted payments and protections
Earn-out Performance measures, control, period and verification
Deferred or vendor finance Payment conditions, security, default and priority

There is no universally best mechanism. The appropriate choice depends on information quality, business volatility, negotiating position and the transaction. Qualified advisers should translate the agreed economics into consistent documents.

Examine working capital and debt

Define which balances are included, how seasonality is treated and what accounting policies apply. A normal working-capital requirement is different from a negotiated price adjustment. Avoid a generic formula that ignores the business’s operating cycle.

Review debt-like items, cash restrictions and other obligations with the accounting and legal teams. A number in an acquisition model should reconcile with the definitions in the purchase agreement.

Make earn-outs workable

Agree the performance measure, calculation, information rights and treatment of changes after completion. Consider how the buyer’s operating decisions could affect the outcome. An earn-out is not a guaranteed additional payment merely because a forecast includes it.

Seller financing and deferred consideration can create continuing exposure for both parties. Obtain advice on repayment, security, enforceability and tax consequences.

Scope protection and professional roles

Warranties, representations and indemnities allocate particular risks through legal documents. Warranty and indemnity insurance, where available, involves insurer assessment, wording, limits, exclusions and claims conditions. It does not eliminate every acquisition risk.

An escrow arrangement needs a suitable independent provider, agreed release conditions and appropriate legal review. This page does not offer custody, escrow accounts, insurance underwriting or a promise that any protection product is available.

Control completion conditions

Maintain an agreed list of approvals, consents, documents, funds and deliverables. Identify who confirms each condition and who has authority to complete. A commercial coordinator should not be mistaken for counsel, the paying bank or an escrow agent.

Plan post-closing adjustments and disputes as well as signing day. Keep records, access rights and responsibilities clear after ownership changes.

Does a locked-box price remove all risk?

No. It reallocates defined issues through negotiated terms; diligence and appropriate protections remain important.

What should I send Wigmore?

Describe the transaction stage and commercial questions without sending confidential agreements. The team can discuss coordination and the specialist review required.

Prepare a non-confidential enquiry

Note your role, business sector, jurisdictions, transaction stage, target dates and the decision you need help with. State what is confirmed and what remains an assumption. Identify who is authorised to give instructions.

Do not send confidential deal documents, private banking or identity information, medical records or employee data through a general sales enquiry. Agree scope, confidentiality and access first. This checklist does not submit information.
