A Nigerian acquisition can involve competition review, securities requirements, corporate records and sector permissions. These are distinct workstreams. One filing or clearance should not be treated as a universal approval for the whole transaction.
Wigmore Trading welcomes transaction-readiness and coordination enquiries. We can discuss the information and specialist support needed; actual legal advice, filings and regulatory representation must be agreed with appropriately qualified or authorised providers.
Map the transaction before choosing forms
Identify the entities, ownership, proposed rights, assets, jurisdictions, turnover information and sector. State whether the target is private, public, listed or regulated. Counsel should determine the applicable requirements from those facts.
| Workstream | Question for the responsible adviser |
|---|---|
| FCCPC merger control | Is the transaction notifiable and what process applies? |
| SEC and public-company matters | Which securities, takeover or shareholder-protection requirements apply? |
| CAC and corporate records | Which resolutions, ownership changes and post-completion filings are needed? |
| Sector permissions | Does the licence or proposed change require consent? |
Assess merger notification properly
The FCCPC merger-notification page provides regulations, guidance, forms and related resources. Have counsel verify current notification thresholds, turnover calculation, control and jurisdictional issues for the actual transaction.
Do not use purchase price alone as the test or assume that an asset deal, minority stake or offshore transaction cannot be caught. Requirements and exemptions need professional assessment. Review permitted conduct before completion rather than integrating the businesses while approvals remain outstanding.
Separate securities review
The SEC M&A checklist and Investments and Securities Act 2025 are relevant starting points. A public-company acquisition or takeover needs specific analysis, including exemptions, acting-in-concert issues and applicable rules.
Older online guidance can reflect a previous regulatory regime. Confirm current primary materials and obtain transaction-specific advice before relying on a filing assumption.
Review sector and licence conditions
Banking, insurance, telecommunications, upstream or downstream petroleum, pensions and healthcare can involve different regulators and permissions. The appropriate advisers should examine any CBN, NAICOM, NCC, NUPRC, NMDPRA or other relevant requirements for the actual entity and activities.
A licence held by the target does not automatically transfer with selected assets or remain unaffected by a change of control. Verify the document, conditions, status and proposed structure.
Control the approvals programme
Maintain a register of required decisions, responsible parties, dependencies and evidence. Include corporate registry work under applicable company law and post-acquisition records. A CAC filing does not replace competition or sector consent.
Align conditions precedent, financing and the planned completion date. A regulator’s published timeframe should not be treated as a guaranteed closing date for an incomplete or complex submission.
Can one adviser guarantee all approvals?
No. Regulators decide applications, and professional scope must be explicit.
What should I send Wigmore?
Provide a non-confidential transaction outline, entity types, sector, jurisdictions and timing. Detailed ownership and financial information should follow agreed scope and access arrangements.
Prepare a non-confidential enquiry
Note your role, business sector, jurisdictions, transaction stage, target dates and the decision you need help with. State what is confirmed and what remains an assumption. Identify who is authorised to give instructions.
Do not send confidential deal documents, private banking or identity information, medical records or employee data through a general sales enquiry. Agree scope, confidentiality and access first. This checklist does not submit information.
For a public or listed target, also review the public-company takeover workstream with the responsible advisers.
