Transaction structure determines what changes hands, which obligations need attention and how the parties will work together afterwards. A share purchase, asset purchase, merger and joint venture are different routes, and the preferred route depends on the business objective and facts.
Wigmore Trading welcomes acquisition-structure, strategic-partnership and corporate-restructuring enquiries in Nigeria. We can discuss commercial requirements and coordination, with legal, tax, financing and regulatory advice assigned to appropriate professionals.
Start with the intended outcome
Identify the assets, customers, people, licences and capabilities required. Decide whether control, a minority stake, a commercial partnership or a defined asset package meets the objective. Avoid choosing a structure solely because it appears simpler in a generic example.
| Route | Questions to review |
|---|---|
| Share purchase | Entity liabilities, control, shareholder rights and required consents |
| Asset purchase | Title, transfer mechanics, contracts, employees and permissions |
| Merger or group restructuring | Entity relationships, stakeholders, implementation and approvals |
| Joint venture | Contributions, governance, funding, control and exit provisions |
Compare the actual consequences
An asset purchase does not automatically avoid every liability, and a share purchase does not automatically preserve every contract or licence unchanged. Qualified advisers should assess the actual perimeter, restrictions and transfer requirements.
For a subsidiary or non-core business, examine shared systems, staff, premises and services. Define what will be separated, retained or provided temporarily after completion. A restructuring diagram alone does not establish operational readiness.
Coordinate tax and financing review
Tax-efficient structuring means evaluating lawful alternatives with competent advisers, not promising that a particular route eliminates tax. Review the applicable treatment, documentation and commercial substance for the actual transaction.
Funding arrangements can affect control, security, cash obligations and completion. Distinguish indicative finance from confirmed commitments. Any acquisition financing or leveraged structure needs provider assessment and appropriate professional review.
Design joint-venture governance
Clarify contributions, decision rights, reserved matters, management, profit arrangements, intellectual property and information sharing. Consider how disputes, deadlock, underperformance and exit will be handled. A strategic partnership discussion is not yet a binding joint venture.
Check competition and other legal implications before coordinating sensitive commercial activity between independent businesses. Counsel should establish what can be exchanged and done at each stage.
Plan approvals and implementation
Review the FCCPC merger resources and relevant sector requirements with advisers. Cross-border transactions can need additional jurisdiction-specific review. The structure should not be marketed as a way to bypass applicable approvals.
Create an implementation plan covering documents, consents, stakeholders, systems, staff and handover. Pre-sale restructuring can create costs and risks of its own, so test whether it advances the commercial objective before proceeding.
Which is better: a share purchase or asset purchase?
There is no universal answer. Assess the business perimeter, risks, consents, tax and operating needs with qualified advisers.
What should I send Wigmore?
Provide the commercial objective, entities and jurisdictions involved, broad assets or stake sought, project stage and timing. Detailed legal and financial records should follow an agreed review process.
Prepare a non-confidential enquiry brief
Note whether you are a buyer, seller, shareholder or adviser; the sector and broad location; the decision you need to support; your intended timing; and the service scope required. Separate confirmed facts from assumptions and identify who is authorised to give instructions.
Do not send private identity, employee, banking or confidential transaction records through a general sales enquiry. Agree the engagement, confidentiality and access arrangements first. This checklist does not submit information.
