Succession planning asks how a business will continue when an owner or key manager steps back. A sale is one option, but family succession, a management transition or a partial exit may better fit the owner’s objectives. Planning early creates time to examine those options.

Wigmore Trading welcomes founder-exit, shareholder-exit and family-business succession enquiries in Nigeria. We can discuss commercial readiness and search or coordination needs, with specialist legal, tax, valuation and financing roles agreed separately.

Separate ownership from management

An owner can retain shares while appointing management, or sell shares while remaining for a transition period. Define the desired future role, timing and income or liquidity objectives. Do not assume every family member has the same preference.

Establish the actual shareholding and decision-making arrangements. Review shareholder agreements, succession expectations and restrictions with appropriate advisers before approaching buyers or promising a role to a successor.

Compare transition routes

Route Questions to examine
Family succession Capability, governance, ownership fairness and transition
Management buyout Existing team’s readiness, conflicts, funding and ongoing operation
Management buy-in Incoming team’s experience, control and business continuity
Employee or external buyer route Structure, eligibility, funding and specialist advice

A leveraged buyout introduces financing and debt-service considerations. It should not be presented as a simple way to buy without capital. Any financing proposal needs provider assessment and careful professional review of obligations and business resilience.

Improve sale readiness through real operations

Reduce dependence on undocumented owner knowledge. Clarify responsibilities, strengthen records, document important processes and review customer or supplier concentration. These measures help a buyer understand the business; they do not guarantee a higher valuation.

Review accounts, working capital, contracts, intellectual property and licences with relevant specialists. Resolve ownership and record gaps transparently rather than concealing liabilities or temporarily manipulating performance.

Create a practical transition plan

Identify key employees, customers and suppliers whose continuity matters. Establish who makes decisions during the transition and what support the outgoing owner will provide. Agree the duration, scope and limits of any handover role.

Family discussions, professional advice and commercial negotiations should have clear boundaries. Personal succession wishes and business-sale terms can interact, but one document or informal conversation may not resolve both.

Prepare for a confidential sale process

Start with a non-confidential business summary and an agreed disclosure plan. Obtain appropriate valuation advice and distinguish an asking price from a supported value conclusion. Buyers will assess risks and the business they can operate after the founder leaves.

Set the advisory scope, fees, authority and conflicts in writing. Do not assume a readiness discussion includes a legal restructuring, financing offer or guaranteed buyer search.

How can I increase business value before a sale?

Focus on demonstrable operating quality and reliable information. The effect on value depends on the business, market and transaction; no universal uplift is promised.

What should I send Wigmore?

Describe the sector, ownership objective, timing, dependence on the founder and the transition options being considered. Sensitive family and company records should follow a controlled process.

Prepare a non-confidential enquiry brief

Note whether you are a buyer, seller, shareholder or adviser; the sector and broad location; the decision you need to support; your intended timing; and the service scope required. Separate confirmed facts from assumptions and identify who is authorised to give instructions.

Do not send private identity, employee, banking or confidential transaction records through a general sales enquiry. Agree the engagement, confidentiality and access arrangements first. This checklist does not submit information.
