Before acquiring a Nigerian business, establish which legal entity you are dealing with, who can authorise the transaction and what evidence supports ownership and operating claims. A company name, website or registration certificate alone cannot answer all of those questions.
Wigmore Trading welcomes company-verification and transaction-risk review enquiries. We can discuss commercial screening and coordination requirements. Actual checks, sources, professional roles and limitations must be agreed; no general enquiry establishes a comprehensive investigation.
Identify the exact entity
Obtain the legal name and registration reference and reconcile them with the proposed seller, contracts and assets. Distinguish a trading name, group brand and subsidiary. Confirm the entity involved in the actual transaction rather than reviewing another company with a similar name.
| Check | Evidence question |
|---|---|
| Corporate identity | Which registered entity is being acquired? |
| Directors and authority | Who represents the company and what approvals are required? |
| Ownership and control | Which records support shareholding and beneficial ownership? |
| Business permissions | Does the exact entity hold the claimed current licence? |
Use official records appropriately
The CAC beneficial ownership register provides a route for persons-with-significant-control information. Review available corporate records and obtain appropriate professional assistance for documents or searches needed for the transaction.
Public records have a scope and date. A record found online does not establish that every ownership issue, liability or recent change has been resolved. A lack of a visible result should not automatically be treated as proof of fraud.
Verify authority and operating claims
Ask counsel to assess the seller’s authority, relevant shareholder or board decisions and restrictions. For licences, check the issuing authority, entity, permitted activity, current status and the implications of a proposed ownership change.
A valid registration is not a clean bill of health for tax, debt, litigation, asset title or regulatory compliance. Link corporate checks with legal, financial and operational diligence rather than using one certificate to approve the deal.
Scope corporate intelligence lawfully
Use lawful, relevant and proportionate sources. Define the purpose of background checks and how personal information will be handled. Private accounts, unauthorised system access, impersonation and undisclosed collection are not justified by an acquisition enquiry.
Fraud-risk, AML, KYC and source-of-funds reviews can require specialist procedures and obligations. Establish the responsible professional and the appropriate consent or legal basis. Do not request identity or banking files through an uncontrolled sales channel.
Record evidence and unresolved issues
Distinguish official records, documents supplied by management, third-party reports and uncorroborated statements. Record source, date and limitations. Give the seller a structured opportunity to clarify discrepancies through the agreed process.
A useful acquisition-risk report explains what remains unverified and which issues require specialist attention. It should not make unsupported allegations or imply that absence from a public search means a company is illegitimate.
Does CAC verification prove a business is safe to buy?
No. Corporate identity and filing checks form only part of the review. The assets, obligations, performance and transaction structure need separate assessment.
What should I send Wigmore?
Provide the non-confidential entity identity, transaction purpose and checks needed. Sensitive documents should be shared only after appropriate scope and access arrangements are agreed.
Prepare a non-confidential enquiry brief
Note whether you are a buyer, seller, shareholder or adviser; the sector and broad location; the decision you need to support; your intended timing; and the service scope required. Separate confirmed facts from assumptions and identify who is authorised to give instructions.
Do not send private identity, employee, banking or confidential transaction records through a general sales enquiry. Agree the engagement, confidentiality and access arrangements first. This checklist does not submit information.
