A business sale can involve a confidentiality agreement, letter of intent, term sheet and definitive purchase agreement, each serving a different purpose. The name of a document does not determine whether its provisions are binding or suitable for the transaction.

Wigmore Trading welcomes transaction-coordination enquiries in Nigeria. We can discuss commercial preparation and specialist support needs. Wigmore is not presented here as an M&A law firm; drafting, legal opinions and representation require an appropriately qualified lawyer under a separate engagement.

Set the legal workstream early

Identify counsel for each party and who can give instructions. State the entities, transaction perimeter, proposed structure, jurisdictions and timetable. Ask counsel to identify approvals, consents and potential conflicts before the process becomes time-critical.

Document Questions for counsel
NDA or confidentiality agreement Permitted use, recipients, protection and disclosure process
Letter of intent, MOU or term sheet Commercial outline, binding provisions and conditions
Share or asset purchase agreement Transfer, consideration, risk allocation and completion
Shareholders or transition agreement Continuing ownership, governance and post-completion roles

Do not treat preliminary documents casually

Exclusivity, confidentiality, costs and dispute provisions can carry consequences even while a purchase remains conditional. Obtain legal review before signing or accepting a document described as merely preliminary.

Define disclosure permissions and the data-room process. An NDA does not establish that the seller owns the assets or that the buyer has committed funding. It supports information sharing within an agreed framework.

Translate diligence into deal terms

Material findings may affect price, conditions, warranties, indemnities, completion requirements or the decision to proceed. The commercial team should explain the business concern, while qualified advisers assess the appropriate drafting and implications.

For price negotiation, distinguish headline consideration, debt or working-capital adjustments, deferred payments and retained obligations. Avoid negotiating one figure while leaving the underlying transaction economics unclear.

Choose documentation for the actual structure

A share purchase agreement and asset purchase agreement address different perimeters. Business transfers, mergers, joint ventures and continuing minority ownership can need additional documents. A generic template cannot resolve every title, employment, tax or regulatory issue.

Cross-border transactions need review of relevant jurisdictions and practical enforcement. Identify governing-law and dispute-resolution questions with counsel rather than assuming a familiar foreign template is appropriate.

Control negotiation and completion

Maintain a clear issues list, decision authority and version control. Identify who may agree commercial changes and who must approve the final documents. Do not let an intermediary’s introduction be mistaken for authority to commit either party.

Use the FCCPC merger-notification resources as a starting point for discussing applicable approval questions. Counsel should establish the actual requirements and conditions before completion.

Can this guide replace an acquisition lawyer?

No. It helps organise the legal workstream and the questions to ask. It does not supply a contract or legal conclusion.

What should I send Wigmore?

Describe the transaction stage, commercial objective and coordination needed. Obtain an agreed confidentiality process before sending draft contracts, private information or sensitive deal documents.

Prepare a non-confidential enquiry brief

Note whether you are a buyer, seller, shareholder or adviser; the sector and broad location; the decision you need to support; your intended timing; and the service scope required. Separate confirmed facts from assumptions and identify who is authorised to give instructions.

Do not send private identity, employee, banking or confidential transaction records through a general sales enquiry. Agree the engagement, confidentiality and access arrangements first. This checklist does not submit information.
