An acquisition model should show how a proposed transaction works under explicit assumptions. It should help decision-makers understand price, funding, operating performance and downside exposure. A spreadsheet that produces an attractive return without explaining its inputs is not enough.

Wigmore Trading welcomes acquisition-planning and financial-modelling enquiries in Nigeria. We can discuss the required analysis and coordination scope; the actual modeller, professional responsibilities and any valuation opinion need an agreed engagement.

Define the model’s purpose

Identify whether the model supports initial screening, an indicative offer, detailed diligence or financing discussions. State the entity, stake or assets being considered, valuation date, currency and forecast period. Keep the transaction perimeter consistent with the information supplied.

Model component Question it should answer
Operating forecast What drives revenue, margins, expenditure and cash generation?
Transaction bridge How does the proposed enterprise value relate to equity consideration?
Funding What cash is required and which sources are confirmed?
Scenarios Which assumptions most affect affordability and outcomes?

Build from evidence

Reconcile historical information and identify adjustments with the appropriate accounting team. Explain customer demand, pricing, costs, capacity and capital expenditure. Separate management forecasts from independently reviewed evidence.

Use explicit currency and inflation assumptions relevant to the business. A nominal cash-flow forecast and its discount rate need a consistent basis. Qualified professionals should determine the appropriate methodology rather than copying a percentage from an unrelated deal.

Separate value, price and funding

A discounted cash-flow calculation, comparable-company analysis and precedent-transaction analysis can inform a valuation, but their relevance depends on data and professional judgement. Public-company multiples are not automatically appropriate for a small private company.

Distinguish enterprise value, equity value, purchase consideration, transaction costs and working capital needed after completion. Avoid presenting a model output as the cash the seller will necessarily receive.

Test the investment assumptions

Assess downside and sensitivity around demand, margins, capital expenditure, working capital, financing costs and timing. Identify which assumptions are linked and avoid treating an unrealistic combination as a plausible scenario.

For acquisition financing, distinguish indicative discussions from a binding provider commitment. The model should not assume debt or refinancing is available simply because it balances the funding requirement.

Control the model and its use

Document sources, assumptions, version history and review responsibilities. Separate inputs from calculations and make material limitations clear. Have a competent reviewer test the logic and interpretation before the model supports a significant decision.

The International Valuation Standards framework covers valuation scope, inputs, models and reporting. A spreadsheet alone does not establish a standards-compliant independent valuation; the engagement and professional work matter.

Can a model guarantee the acquisition return?

No. Outcomes depend on uncertain assumptions, execution and market conditions. Scenario analysis helps expose that uncertainty.

What should I send Wigmore?

Start with the transaction objective, business type, proposed scope and the decision the model must support. Detailed accounts and deal information should follow agreed confidentiality and access arrangements.

Prepare a non-confidential enquiry brief

Note whether you are a buyer, seller, shareholder or adviser; the sector and broad location; the decision you need to support; your intended timing; and the service scope required. Separate confirmed facts from assumptions and identify who is authorised to give instructions.

Do not send private identity, employee, banking or confidential transaction records through a general sales enquiry. Agree the engagement, confidentiality and access arrangements first. This checklist does not submit information.
