Your message tells us which page you came from

A public-company acquisition raises questions beyond negotiating with a willing seller. Control, shareholder treatment, disclosure and the applicable takeover process need early review. A listed target may also bring exchange-related requirements.

Wigmore Trading welcomes commercial planning and transaction-coordination enquiries. Public-company advice, securities transactions, formal bids and regulatory representation require appropriately authorised professionals. This page does not offer shares, a takeover target or execution of a securities transaction.

Identify the target and proposed control

Establish whether the company is public, listed or otherwise subject to relevant rules. Analyse existing holdings, proposed purchases, voting arrangements and persons acting together. A minority percentage does not answer every control question.

Issue Question to review
Stake and rights What ownership and decision rights are acquired?
Acquisition sequence How do separate purchases and concert-party arrangements interact?
Bid process Is a takeover offer required and what permissions apply?
Shareholders What information, time and treatment are required?

Use the current legal framework

The Investments and Securities Act 2025 addresses takeovers, control and shareholder treatment. Have qualified counsel apply the current Act, rules, exemptions and regulatory guidance to the specific facts.

Do not treat a threshold quoted in an old article as permission to buy below it without analysis. Timing, rights, existing holdings and connected parties can matter. An introductory guide should not replace advice before commitments or purchases.

Distinguish friendly and hostile approaches

A friendly transaction generally involves cooperation with the target, while an opposed approach presents different practical issues. Neither description removes the applicable rules or duties. Obtain legal advice on communications, confidential information and the role of target directors.

This page does not provide tactics for evading disclosure, coercing shareholders or manipulating markets. A lawful process needs accurate information and appropriate professional oversight.

Plan funding and documents

Identify the bidder, authority, funding evidence, advisers and conditions. The SEC checklist outlines relevant submission materials, but the actual requirements and sequence need confirmation.

Coordinate securities, competition, corporate and sector workstreams. NGX-listed company acquisitions need review of applicable exchange obligations by the responsible advisers; listing status does not simplify the analysis to one form.

Protect the decision process

Establish approved communications, document control and conflict management. Shareholder materials should distinguish fact, assumptions and conditions. A commercial introduction is not authority to announce or launch a bid.

Review implementation and any later compulsory-acquisition or restructuring steps separately. A successful initial negotiation does not resolve every legal or operational stage.

Does every public-company stake trigger the same offer?

No. The outcome depends on the applicable rules and transaction facts. Obtain current professional advice.

What should an initial enquiry contain?

Provide the non-confidential objective, target type, proposed stake and transaction stage. Do not send inside information or confidential target documents through a general enquiry.

Prepare a non-confidential enquiry

Note your role, business sector, jurisdictions, transaction stage, target dates and the decision you need help with. State what is confirmed and what remains an assumption. Identify who is authorised to give instructions.

Do not send confidential deal documents, private banking or identity information, medical records or employee data through a general sales enquiry. Agree scope, confidentiality and access first. This checklist does not submit information.
