An equity transaction can provide growth capital to a company, liquidity to existing shareholders or both. Buying a minority stake, a majority interest and all the shares creates different commercial and governance questions. The percentage alone does not explain the complete arrangement.

Wigmore Trading welcomes strategic investment and acquisition-planning enquiries in Nigeria. We can discuss commercial objectives, search and coordination needs. Investment availability, regulated advice, valuation and funding require separately confirmed providers and terms.

Separate primary capital from a secondary sale

A new share issue can raise funds for the business, while a sale of existing shares generally provides proceeds to the selling shareholder. A mixed transaction can do both. Define where the money goes and how ownership changes before discussing a headline investment amount.

Founder share sales, venture-capital secondary transactions and partial exits should identify exactly which shares are being sold and what rights attach to them. A liquidity enquiry is not a promise that a buyer is available.

Compare ownership and control

Transaction Questions to resolve
Minority investment Information rights, reserved matters, dilution and exit
Majority or controlling stake Decision rights, continuing shareholders and approvals
Partial shareholder sale Shares offered, restrictions and remaining obligations
100% acquisition Complete ownership perimeter, liabilities and transition

Control can require analysis of rights and arrangements beyond a simple percentage. Ask qualified counsel to assess the actual agreements, voting powers and applicable regulatory tests.

Plan governance after investment

Discuss board composition, management, budgets, future funding, distributions, transfer restrictions and dispute procedures. Minority protections and majority decision rights should be reviewed together rather than negotiated as unrelated clauses.

For growth capital, explain how funds will be used and which milestones are realistic. For shareholder liquidity, consider whether the business still has enough working capital and management continuity after the sale.

Prepare evidence and professional review

Use appropriate valuation and financial, commercial and legal diligence. Explain customer concentration, debt, related parties and material obligations. An attractive forecast does not replace evidence about the current business.

Private equity and institutional investors may have different mandates and information requirements. A family office introduction does not establish a binding investment offer or justify uncontrolled sharing of confidential records.

Check approvals before commitments

Review competition, securities and sector requirements with appropriate advisers. Public-company and regulated-sector transactions can have additional obligations. The FCCPC resources and SEC checklist are starting points for a transaction-specific review.

Is a minority investment always simpler?

No. Rights, control, sector and structure can make a small stake complex. Review the actual proposal.

What should I send Wigmore?

Describe the company, sector, stake sought or offered, use of proceeds and timing in a non-confidential brief. Sensitive records should follow an agreed engagement and disclosure process.

Prepare a non-confidential enquiry

Note your role, business sector, jurisdictions, transaction stage, target dates and the decision you need help with. State what is confirmed and what remains an assumption. Identify who is authorised to give instructions.

Do not send confidential deal documents, private banking or identity information, medical records or employee data through a general sales enquiry. Agree scope, confidentiality and access first. This checklist does not submit information.
