Acquiring a local business can provide operating capability, customer relationships and an established team. It can also bring liabilities, systems and contracts that a new entrant would not otherwise inherit. Compare acquisition with a joint venture, distribution partnership or new operation before choosing the route.
Wigmore Trading welcomes cross-border acquisition and market-entry enquiries involving Nigeria and West Africa. We can discuss target search, commercial research and coordination needs, with country coverage and specialist roles confirmed for the engagement.
Define the market-entry objective
State the products, customers, geography and capabilities sought. A distribution-company acquisition has different priorities from buying a factory or technology platform. Identify whether you need control, a local partner, a minority investment or a commercial agreement.
| Route | Questions to test |
|---|---|
| Acquire an operating company | What capabilities and obligations come with the target? |
| Joint venture | What does each partner contribute and who makes decisions? |
| Distribution partnership | Can the commercial objective be met without ownership? |
| New operation | What time, permissions, staff and infrastructure are needed? |
Review each jurisdiction separately
A foreign investor buying a Nigerian company and a Nigerian company acquiring overseas operations create different workstreams. Identify entity structure, ownership restrictions, sector approvals, tax, employment and applicable merger review with qualified advisers in the relevant countries.
The NIPC investment guide is a starting point for Nigerian investment planning. It does not establish that a particular transaction is approved or that every sector has identical requirements.
Plan local diligence and access
Verify the actual entity, shareholders, operating licences, premises and material contracts. Assess market position and the quality of records rather than relying on remote presentations. Site work and specialist review need explicit permissions and scope.
For West African businesses, do not infer legal or regulatory equivalence from regional proximity. Language, currency, ownership rules, tax and contract enforcement can differ.
Coordinate funding, currency and integration
Review the source, timing and movement of funds with appropriate legal, tax and banking advisers. Define purchase consideration and post-completion working capital. Currency assumptions should be visible in the acquisition model.
Plan management, suppliers, systems and customer communications after completion. A foreign buyer needs a realistic operating plan, not only a signed purchase agreement.
Set a controlled search process
Use a non-confidential mandate with sector, location, size range and ownership preference. Agree target approaches, disclosure and conflicts. An international M&A enquiry does not establish a verified inventory of African businesses for sale.
Capital raising, regulated advice and formal opinions must be assigned to appropriate providers. Wigmore’s actual commercial or coordination role is agreed in the engagement.
Can acquisition guarantee faster market entry?
No. Diligence, approvals and integration can materially affect timing. Compare realistic alternatives.
What should I send?
Describe the buyer’s objective, jurisdictions, target criteria, proposed stake, funding readiness and timing. Sensitive files should follow a controlled disclosure process.
Prepare a non-confidential enquiry
Note your role, business sector, jurisdictions, transaction stage, target dates and the decision you need help with. State what is confirmed and what remains an assumption. Identify who is authorised to give instructions.
Do not send confidential deal documents, private banking or identity information, medical records or employee data through a general sales enquiry. Agree scope, confidentiality and access first. This checklist does not submit information.
