A buy-and-build strategy combines an initial business with further acquisitions. The objective may be geographic reach, capacity, products or a stronger supply chain. Buying several companies does not itself establish value; the businesses must work together and justify the costs and risks.

Wigmore Trading welcomes consolidation-strategy and acquisition-search enquiries in Nigeria. We can discuss target criteria, commercial screening and coordination needs. No add-on opportunities, synergies, funding or returns are guaranteed.

Define the platform and acquisition thesis

Identify what makes the initial operation capable of supporting further acquisitions: management, systems, cash generation and sector expertise. Explain which capabilities a bolt-on target should add and which problems would make it unsuitable.

Strategy Questions to examine
Horizontal combination Customer overlap, competition, duplicate capacity and integration
Vertical integration Supplier or distributor relationships, economics and operating capability
Geographic expansion Local demand, management, logistics and permissions
Conglomerate approach Governance and expertise across different businesses

Test synergies rather than assuming them

Separate cost savings, revenue opportunities and one-off integration costs. Assign a responsible owner and evidence to each assumption. A seller’s forecast and a buyer’s synergy estimate are different claims and should not be counted twice.

Consider whether savings could disrupt customers, suppliers, staff or service quality. A business may need investment before it can support the next transaction.

Keep diligence target-specific

Review ownership, accounts, liabilities, licences, systems and management for each target. A familiar sector does not eliminate company-specific issues. Use consistent screening while allowing specialists to adjust scope to the actual risk.

When considering a competitor, supplier or distributor, assess commercial sensitivities and disclosure permissions. Do not exchange competitively sensitive information or coordinate operations before counsel establishes what is permitted.

Plan competition review and structure

Market consolidation can raise merger-control questions. Review the sequence and combined effect of proposed transactions with qualified competition counsel. The FCCPC merger resources are a starting point for the applicable review.

Reverse mergers, business combinations and other structures need specific legal, accounting and securities analysis. A label does not determine whether approvals or public-company obligations apply.

Match the pace to capital and management capacity

Model purchase costs, working capital, integration expenditure and downside scenarios. Identify which funding is committed and which remains conditional. Avoid committing to a series of acquisitions based on assumptions that refinancing will always be available.

Build a repeatable integration process and review whether earlier acquisitions have delivered the expected benefits before adding complexity.

Is a roll-up automatically worth more than separate companies?

No. Value depends on economics, execution, risk and market evidence.

What should I send Wigmore?

Provide sector, platform profile, target criteria, geography, intended pace and integration resources. We can discuss a practical search and review scope.

A credible strategy needs a post-merger integration plan as well as a target list.

Prepare a non-confidential enquiry

Note your role, business sector, jurisdictions, transaction stage, target dates and the decision you need help with. State what is confirmed and what remains an assumption. Identify who is authorised to give instructions.

Do not send confidential deal documents, private banking or identity information, medical records or employee data through a general sales enquiry. Agree scope, confidentiality and access first. This checklist does not submit information.
