Entrepreneurship through acquisition starts with a plan to buy and operate an existing business. Search funds, independent sponsors and investor consortia are different ways participants may organise the search and investment. None guarantees a target, funding or a successful operating transition.
Wigmore Trading welcomes acquisition-search and corporate-matchmaking enquiries in Nigeria. We can discuss mandate preparation, target search and coordination requirements. This page does not offer investment products, pooled funds, subscriptions or verified deals.
Clarify the model and participants
Identify who searches, who pays search expenses, who makes investment decisions and who will run the acquired business. An independent sponsor may seek capital for a specific transaction; a search arrangement may fund an earlier search stage. Actual terms and legal treatment require specialist advice.
| Participant | Questions to agree |
|---|---|
| Search entrepreneur | Sector experience, search resources and operating role |
| Sponsor | Authority, fees, incentives and conflicts |
| Investors | Mandate, decision rights, contributions and commitments |
| Consortium | Governance, allocation, information and coordination |
Write a focused acquisition mandate
State sector, geography, scale, customer profile and the capabilities required. Identify exclusions such as an operation too dependent on the outgoing owner or beyond the buyer’s technical experience. A disciplined mandate is more useful than asking for every profitable company in Nigeria.
Distinguish the cost of searching from the funds needed to acquire and operate the eventual target. A long search can consume resources without producing an acceptable transaction.
Verify roles and funding
Establish identity, authority and the status of investor interest through an appropriate process. An expression of interest does not equal committed capital. Agree what happens if a participant withdraws or the transaction changes.
Have qualified legal and financial advisers review proposed pooling, solicitation, fundraising and securities activities. An investor consortium should not proceed on the assumption that informal introductions avoid all regulatory requirements.
Assess the target and transition
Review earnings, cash needs, ownership, liabilities, customer concentration and sector permissions. Evaluate the incoming operator’s ability to manage the business. Strong diligence on the target does not replace a credible leadership and integration plan.
Agree the seller’s transition role, key employee retention and operating priorities. The purchase price is only one part of the capital and work required after completion.
Set the sourcing engagement
Define permitted approaches, reporting, confidentiality, fees and exclusions. Record which opportunities are merely screened and which have been reviewed by specialists. Avoid claims of proprietary or exclusive access without evidence and an authorised mandate.
Are there search-fund opportunities available now?
Ask what search or introduction support is available for your brief. No live opportunity inventory is represented here.
What should I send Wigmore?
Provide the proposed operating role, sector, target size, geographic criteria, search resources and funding status. Begin without confidential company or personal financial documents.
Prepare a non-confidential enquiry
Note your role, business sector, jurisdictions, transaction stage, target dates and the decision you need help with. State what is confirmed and what remains an assumption. Identify who is authorised to give instructions.
Do not send confidential deal documents, private banking or identity information, medical records or employee data through a general sales enquiry. Agree scope, confidentiality and access first. This checklist does not submit information.
