Starting a brokerage, securities dealing business or commodities-dealer operation in Nigeria begins with defining the regulated activity. A company name, software subscription or general trading business registration does not establish permission to execute client orders or operate a financial market. Wigmore Trading accepts business-planning and enquiry-coordination requests; the proposed assignment and qualified regulatory advisers must be agreed before work begins.

Choose the function before estimating capital

Document whether the business will execute customer orders, trade for its own account, introduce customers, advise investors, manage portfolios or run a venue. Physical commodity procurement and regulated commodity-market dealing involve different questions. Ask qualified counsel to map every intended activity to the current SEC framework and any relevant exchange, banking or other permissions. Verify existing providers through the SEC operator register.

What are the revised minimum capital requirements?

The SEC’s 16 January 2026 capital circular gives the following revised figures. These are regulatory capital amounts, not application fees or a complete startup budget.

Function Revised minimum capital
Broker: client execution only ₦600 million
Dealer: proprietary trading only ₦1 billion
Broker-dealer ₦2 billion
Commodities broker/dealer ₦50 million
Commodities broker ₦30 million
Commodities dealer ₦20 million

The 18 March 2026 guidelines distinguish new applications from existing operators: revised capital is a registration precondition for new CMOs from 16 January 2026, while existing CMOs have a 30 June 2027 compliance deadline. Pending applications have specific transitional conditions. Qualifying capital is subject to SEC verification; borrowed funds and client assets do not qualify. Confirm the applicable position directly before committing expenditure. Information reviewed 8 November 2026.

Build a registration-readiness file

Prepare an ownership and beneficial-ownership chart, proposed business model, board responsibilities, professional personnel plan, financial forecasts and control framework. Keep a requirements tracker identifying the source, responsible person, supporting evidence and open questions. Use the SEC’s operator-registration information and obtain the current checklist for the exact function. Do not treat an old blog’s fees or document list as a current application pack.

SEC registration and dealing membership are different checks

Ask which venue admits the proposed business, what market-specific onboarding applies and whether any separate market-making appointment is sought. A broker’s status does not automatically make it a market maker in every instrument. Overseas terminology such as alternative trading system or multilateral trading facility does not establish a Nigerian authorisation category. Obtain written professional advice on the planned structure before promoting it.

Budget beyond regulatory capital

Separate capital, application and professional costs, personnel, premises, data licences, connectivity, systems, insurance where applicable, audit and ongoing compliance. Model a realistic implementation period and operating runway. Revenue assumptions should distinguish commissions, disclosed service fees and proprietary outcomes; none guarantees profitability. Ask suppliers to identify recurring charges, usage limits, implementation dependencies and exit costs in their quotations.

What should the initial enquiry contain?

Send the intended activities, customer categories, markets, ownership structure at a high level, project stage and target date. Wigmore can discuss preparation, research and procurement coordination within a clearly agreed scope. Licensing opinions, filings and regulated services require appropriately qualified or authorised professionals. An enquiry, introduction or draft business plan is not approval to commence trading.

Discuss your preparation requirement

Send a non-confidential brief describing the support you need, project stage and timetable. Wigmore Trading can clarify available research and procurement-coordination scope and specialist dependencies before any engagement.
